I have a flat Seq file( on a VMS environment) which contains 654207 records.

1. When using sqlldr to load this file into the Oracle 9i table, the LOG file reported that it successfully loaded 654218 and rejected 33 records!  How is this possible since I only had 654207 records in the file which I confirmed.

Problem Resolved!

Turned out the file had a CR/LF in the middle of some records and so it considered the 2nd half of the record line as the next record.
